SOLENA Terms of Service

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. Our Services are not intended for individuals or entities located in the European Union (EU) or European Economic Area (EEA). To enforce this policy, we have implemented geolocation-based IP blocking and other technical measures to prevent access from the EU/EEA. Additionally, a disclaimer is prominently displayed on our website stating that our Services are not available to EU/EEA residents. We reserve the right to reject orders from EU/EEA residents to ensure compliance with data protection regulations. By using our Services, you represent and warrant that you are not located in the EU/EEA.

2. Services Description

SOLENA, under Artndesign Inc., provides AI-driven intelligence reports in PDF format, focusing on sales, marketing, and regulatory affairs for manufacturers in healthcare (pharmaceuticals, medical technology) and cosmetics industries. Reports are delivered digitally via our website or email and are based on publicly available information, proprietary data, or licensed content.

"Internal business purposes" means use within the purchasing organization for decision-making, research, or other business activities directly related to the organization's operations. This excludes any distribution, sharing, or use outside the organization, including with affiliates, partners, or third parties.

Additionally, users may subscribe to our newsletter to receive updates and marketing communications, as detailed in our Privacy Policy. Our primary markets are Asia, the USA, and South Korea. We do not offer our Services to clients in the EU/EEA.

3. Account Registration

To purchase reports or subscribe to our newsletter, you may need to create an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. 4. Payment and Pricing

• Pricing: Prices for our intelligence reports are not publicly listed on our website. To obtain pricing information, contact our sales representatives, designated vendors, or email info@solenamedical.com.
• Payment: Payments are processed via secure third-party providers or as specified in the purchase agreement.
• Taxes and Duties: You are responsible for all applicable taxes, duties, or charges related to your purchase.
• Refunds: Reports are non-refundable once delivered, except in cases of significant errors attributable to SOLENA.

5. Intellectual Property

• Ownership: All reports and content are owned by Artndesign Inc. and provided through SOLENA.
• License: Upon purchase, you receive a non-exclusive, non-transferable, revocable license for internal business purposes only.
• Restrictions: You may not share reports with third parties or use them for commercial purposes beyond internal business needs.

12. Governing Law and Dispute Resolution

These Terms are governed by South Korean law. Disputes shall first be resolved through good-faith negotiation, then through the courts in Seoul, South Korea, or binding arbitration under the Korean Commercial Arbitration Board (KCAB).

13. International Use

Services are provided from South Korea primarily for clients in Asia, the USA, and South Korea. We do not actively target the EU/EEA market.

14. Changes to These Terms

We may update these Terms to reflect legal or operational changes. We will notify you of significant changes at least 7 days before they take effect.
